Terms of Service
Where a signed Engagement Letter or Statement of Work exists between Greenlight Systems LLC and a Client, its terms govern that relationship. These Terms of Service apply to all other use of this website and our services, including the free Website Scorecard and the paid AI Visibility Audit.
About the Website Scorecard and AI Visibility Audit. The free Website Scorecard is an automated self-assessment generated from the answers you provide; it is general guidance, not professional advice. The paid AI Visibility Audit is generated using third-party AI engines (such as ChatGPT, Gemini, and Perplexity), whose outputs are probabilistic, change over time, differ between engines, and are outside our control. Both are provided for informational and educational purposes only and are not a guarantee of search rankings, AI visibility, traffic, leads, or revenue. Results are not typical and vary by business, market, and competition.
1. Definitions
1.1 "Services" means website development, migration, audit, the Website Scorecard, the AI Visibility Audit, or monthly marketing plans.
1.2 "Client," "you," or "your" means the person or entity purchasing or using Services.
1.3 "We," "us," or "our" means Greenlight Systems LLC.
2. Services Offered
2.1 Website Development — custom builds.
2.2 Website Migration — platform or host moves.
2.3 Website Audits — analysis and recommendations, including the automated Website Scorecard and AI Visibility Audit.
2.4 Monthly Marketing Plans — ongoing support.
3. Payment Terms
3.1 Payment is due within thirty (30) days of invoice date unless the invoice specifies "due on receipt."
3.2 Work begins only after payment is received and confirmed.
3.3 One-time services require full, up-front payment.
3.4 Monthly plans are billed in advance and are non-refundable once work starts for that period.
3.5 Payments are processed by Stripe; we never store your card details.
4. Cancellations & Refunds
4.1 One-time service payments are non-refundable once any work begins.
4.2 Monthly marketing payments are non-refundable; you may cancel future months with thirty (30) days' written notice.
4.3 We may terminate service for cause; if you have pre-paid for the current month we will, at our option, either finish that month's scope or issue a pro-rata refund.
4.4 Digital reports — including the AI Visibility Audit — are generated and delivered to you promptly after purchase (typically within 24 hours) and are non-refundable once generated.
5. Client Obligations on Cancellation
5.1 You receive all website files, databases, and credentials.
5.2 We provide reasonable transfer support; you pay any third-party transfer costs.
5.3 All marketing assets created up to cancellation become your property.
6. Client Legal Responsibilities
6.1 You are solely responsible for all website content and for ensuring it complies with applicable laws, regulations, and copyright requirements.
6.2 You warrant that you have all necessary rights and permissions for any content you supply.
7. Access & Confidentiality
7.1 You provide administrative, hosting, and domain access as reasonably required.
7.2 We keep all access information confidential.
8. Intellectual Property
8.1 Upon full payment, all designs and code we create become your sole property.
8.2 The methodology, scoring, and report format behind the Website Scorecard and AI Visibility Audit remain the property of Greenlight Systems LLC; you are licensed to use the report we deliver to you.
8.3 We may showcase completed projects in our portfolio only with your prior written permission.
9. Limitation of Liability
9.1 The Services, the Website Scorecard, and the AI Visibility Audit are provided "as is" and "as available," without warranties of any kind, express or implied.
9.2 Our aggregate liability is limited to the amount you actually paid us for the specific service giving rise to the claim.
9.3 We are not liable for indirect, incidental, special, or consequential damages, or for any loss of profits, rankings, traffic, or business.
10. Updates to These Terms
10.1 We may revise these Terms at any time by posting an updated version on our website.
10.2 You are responsible for reviewing the Terms before each purchase or renewal.
10.3 Continued use of Services after changes constitutes acceptance.
11. Dispute Resolution & Governing Law
11.1 Mandatory Pre-Suit Notice: claimant must send detailed written notice and allow thirty (30) days of good-faith negotiation before filing suit or arbitration.
11.2 Small-Claims Election: claims ≤ $15,000 must be brought in the District Court of the State of Hawai‘i, County of Hawai‘i, small-claims division.
11.3 Arbitration: all other disputes resolved by confidential, binding AAA arbitration in Hilo, Hawai‘i under Commercial Arbitration Rules; judgment may be entered in any Hawai‘i court.
11.4 One-Year Statute of Limitations: any cause of action must be filed within one (1) year of accrual.
11.5 Attorneys' Fees & Costs: prevailing party entitled to reasonable fees, arbitration costs, and collection expenses.
11.6 Class-Action Waiver: proceedings will be conducted only on an individual basis; you waive class, consolidated, or representative actions.
11.7 Severability: invalid provisions modified to the minimum extent necessary; the remainder survives.
12. Entire Agreement
These Terms, plus any signed Statement of Work or invoice, constitute the entire agreement and supersede all prior discussions.
13. Governing Law
The laws of the State of Hawai‘i apply without regard to conflict-of-laws rules.
